1. Terms of Agreement

By clicking "I Agree" or by using the Smart Cleaning platform, website or mobile apps (collectively the "Platform"), you accept (i) these Terms of Use ("Terms"), (ii) the Privacy Policy, and (iii) any supplemental policies we post. Material changes will be emailed to you 30 days in advance; you must click to accept the new Terms at your next sign-in. If you disagree, stop using the Platform.

"Control Panel" means the online dashboard located at https://app.smart-cleaning.produx.cloud where you manage your account.

2. Minimum Age

You must be 18 years or older (or the legal age of majority in your location) to create an account.

3. Service Description

Smart Cleaning is a software-as-a-service solution that enables cleaning companies to manage bookings, payments and customer communications. Smart Cleaning does not itself provide cleaning services; those are performed exclusively by independent third-party providers ("Service Providers").

4. Subscription Plans, Pricing & Automatic Renewal

  • Monthly and Annual plans (annual includes a discount).
  • Fees are charged in advance to the payment card on file.
  • Fees may change with 45 days' email notice. Annual subscribers also receive a renewal reminder 3 to 30 days before the charge.
  • Current pricing is published at https://smart-cleaning.produx.cloud/pricing.
  • You can cancel at any time from the Control Panel (https://app.smart-cleaning.produx.cloud/settings/profile); the service will remain active until the end of the paid period. No pro-rated refunds will be provided unless required by law.

5. Billing, Disputes & Late Payment

All invoices are issued and processed by Stripe. If Stripe is unable to collect payment on the due date, we will immediately suspend your access to the Dashboard and the Platform. You will not be able to create new bookings or manage existing ones until the outstanding balance is paid. If the balance remains unpaid for 180 days, we may terminate your account and delete your data, including backups.

6. Registration & Accounts

Provide accurate name, email, phone and payment details and keep them current. You are responsible for safeguarding your credentials. We may suspend or terminate accounts that violate these Terms or pose risk to our service or users.

7. Booking, Cleaning Services & Payments

When you book a cleaning through the Platform you agree to pay the quoted price. Payments are processed by third-party payment processors. Cancellation terms are shown at checkout and may vary by Service Provider.

8. SMS Consent & Messaging Policy

  • Opt-in (voluntary):
    • Tick the unchecked SMS consent box during sign-up OR
    • Text JOIN, START or YES to +1-425-555-3113.
  • Content & frequency: Transactional alerts only (confirmations & reminders), 1–5 messages per booking.
  • Charges: Msg & data rates may apply.
  • Carrier liability: Carriers are not liable for delayed or undelivered messages.
  • Opt-out: Reply STOP, END, CANCEL or QUIT at any time, or turn off SMS under Account ▸ Notifications. We will send a confirmation and cease messaging immediately.
  • Confirmation message: Smart Cleaning: You're subscribed to SMS appointment reminders. Msg&Data rates may apply. Msg freq varies. Reply HELP for help, STOP to cancel.
  • Logs: We store phone number, consent text, UTC timestamp, IP address and user-agent for at least four (4) years per CTIA/TCPA.
  • Note: Consent is not a condition of purchase or service access.

9. Customer Data Ownership

"Customer Data" (content you, your staff or customers upload) remains yours. You grant Smart Cleaning a worldwide, non-exclusive, royalty-free licence only during the term of the Agreement (plus 30 days for back-ups) to:

  • Provide and improve the Services;
  • Compile aggregated, anonymised statistics;
  • Comply with law.

We do not sell Customer Data.

You may request an export of your Customer Data by emailing [email protected]; we will provide it in CSV format within 45 days.

10. Privacy (California CPRA/CCPA)

You have rights to access, correct, delete and export your personal data. Submit requests to [email protected]; we will verify your identity and respond within 45 days.

11. Back-ups, Security & SLA

  • Daily encrypted back-ups; RPO 24 h, RTO 48 h.
  • Target uptime 99.9% per month; planned maintenance ≤ 1 h/month (48 h notice).
  • If monthly uptime falls below 99% you may request a pro-rated service credit equal to the downtime.

12. Intellectual Property

The Platform and its code, design and trademarks are owned by Smart Cleaning or its licensors and protected by IP laws worldwide.

13. Independent Service Providers

Service Providers are independent contractors, not employees or agents of Smart Cleaning. We are not liable for any acts, omissions, damages or losses arising from their services. Where required by law, Service Providers must hold valid licences and insurance.

14. Add-on Services & Integrations

Optional modules are billed at month-end. WordPress or other integrations use your API key; you are responsible for keeping it secure.

15. Cancellation & Termination

Smart Cleaning may suspend or terminate your account for non-payment, misuse or breach of these Terms, after notice via the Platform or email. Fees accrued to the effective date remain payable. Data is deleted 30 days after termination. No refunds on annual plans unless legally required.

16. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied.

17. Limitation of Liability

Smart Cleaning's aggregate liability for direct damages is capped at the fees you paid in the 12 months preceding the event. We are not liable for lost profits, data, goodwill or indirect, incidental or consequential damages, except in cases of gross negligence or wilful misconduct where such limitation is prohibited by law.

18. Indemnification and Defense

You agree to defend, indemnify and hold harmless Smart Cleaning, its officers, directors, employees, agents and affiliates from and against any third-party claim, damage, loss, liability, cost or expense (including reasonable attorneys' fees) arising out of:

  • Your unlawful or unauthorized use of the Platform;
  • The content you submit, upload or transmit;
  • Your breach of these Terms.

Smart Cleaning may, at its option and expense, assume the exclusive defense of any claim subject to this indemnification, and you agree to cooperate with Smart Cleaning's defense of such claim.

19. Governing Law & Binding Arbitration

These Terms are governed by the laws of the State of California. Any dispute shall be resolved by final, binding arbitration on an individual basis administered by the American Arbitration Association (Commercial Rules), venue Los Angeles, in English or Spanish at your election. Class-action waivers apply. This section does not apply to IP infringement claims or requests for injunctive relief.

21. Amendments

We may update these Terms by posting a new version and emailing notice 30 days before it takes effect. Continued use after that date constitutes acceptance.
